This User Agreement ("Agreement") establishes the terms and conditions under which you engage with the services offered by PolyDigi (encompassing BioPass, MyBizChat, and MyBizChat Business) ("the Service"), managed by PolyDigi Solutions Limited ("we," "us," "our"). Your adherence to this Agreement is crucial, as it binds you legally to these stipulations.

By utilizing the Service, you consent to this Agreement and its consequences legally. If you do not accept these terms, either partially or in entirety, you are advised against using the Service.

Service Overview

The Service provided by us includes (a) the management of passwords, secure documentation storage, administrative support, and associated technologies, alongside the website located at https://www.polydigi.solutions, and (b) all related software, applications, data, texts, images, and other materials made available by us. Any updates or modifications to the Service also fall under this Agreement. We reserve the right to alter or cease any service feature or functionality without prior notification. All intellectual property rights in the Service are owned by us.

Subscriptions

Certain services require a subscription ("Subscription"), billed periodically in advance ("Billing Cycle"), usually on a monthly or annual basis. Unless cancelled, Subscriptions auto-renew under identical terms. Cancellations can be made via your account settings or through customer support.

A valid payment method is necessary for Subscription charges. You must provide accurate billing information and authorize us to bill all Subscription charges to your payment method. All fees are non-refundable and must cover any taxes, transaction fees, or currency conversion costs. Payments are in US Dollars.

Free Trial

We may offer a Free Trial for Subscriptions at our discretion. Billing information must be submitted to sign up for the Free Trial. You will not be charged until the Free Trial ends, at which point Subscription fees apply unless the Subscription is cancelled.

Fee Adjustments

We may modify Subscription fees at our discretion. Fee changes will apply after the current Billing Cycle, with prior notice provided to allow for Subscription cancellation if desired. Continuing to use the Service after fee adjustments signifies agreement to the new charges.

Refunds

Though all payments are non-refundable, refund requests may be considered on a case-by-case basis at our discretion.

Intellectual Property

All materials within the Service are our property or licensed to us and protected by copyright and other intellectual property laws. Use of these materials is allowed for personal, non-commercial purposes only, barring explicit permission for any other use.

User-Generated Content

You retain rights to any data or content you upload or make available through the Service. You grant us a license to use this data to provide the Service, including storage and backup.

Termination

You may discontinue using the Service at any time. However, charges continue until your account is officially cancelled. We may terminate accounts for Agreement violations, with notice provided under specific circumstances. Account termination results in immediate cessation of Service use but with provisions for data retrieval when possible.

Liability Limitation

We, including our employees and affiliates, are not liable for indirect, consequential, or special damages beyond the total fees paid by you in the six months preceding a claim.

Disclaimer and Rights Non-Waiver

The Service is provided "as is" without warranties. Our liability is limited by UK provincial laws where applicable. Failure to enforce any rights under this Agreement does not constitute a waiver.

Governing Law

This Agreement is governed by the laws of Ontario and the UK. Disputes will be resolved through arbitration.

Amendments

We reserve the right to modify this Agreement, with notice for significant changes. Continued Service use after changes implies acceptance of the new terms.

This document constitutes the full agreement for using our Service, superseding any previous agreements.
